1. Definitions

• "Services": Web development, consulting, hosting, and related digital services.
• "Client": The party contracting NodeITStudio's services.
• "Deliverables": Custom work products provided to the Client.
• "Website": The NodeITStudio website at www.nodeitstudio.com.
• "Content": All text, images, code, and materials on the Website.

2. General Terms

2.1 Acceptance

By accessing or using our Website or Services, you agree to be bound by these Terms.

2.2 Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Website.

2.3 Eligibility

Services are available only to persons who can form legally binding contracts under applicable law.

3. Contract Formation

A binding contract is formed when:

• The Client accepts a written proposal/quote, and
• Pays the required deposit (if applicable).

4. Intellectual Property

4.1 Ownership

Upon full payment, Clients receive ownership of Deliverables as specified in the project contract. NodeITStudio retains:

• Rights to reusable code/components (e.g., libraries, frameworks).
• Portfolio rights to display completed work.
• All pre-existing intellectual property used in the project.

4.2 Third-Party Assets

Licenses for stock images, fonts, or plugins are the Client's responsibility unless included in the project scope.

4.3 Website Content

All Content on our Website is owned by NodeITStudio and protected by copyright laws.

5. Payments & Pricing

5.1 Fees

Prices are in EUR and exclude VAT (if applicable under Romanian tax law).

5.2 Payment Terms

• 50% deposit to commence work (non-refundable after 14 days).
• Final payment before delivery.
• Late payments incur 1.5% monthly interest (per Romanian Civil Code).

5.3 Refunds

Refunds are only available as required by Romanian consumer protection laws.

6. Client Obligations

The Client agrees to:

• Provide timely feedback and required materials.
• Ensure all content complies with applicable laws (e.g., copyright, GDPR).
• Appoint a single point of contact for project coordination.
• Obtain all necessary licenses for third-party materials.

7. Website Use

7.1 Permitted Use

You may use our Website for lawful purposes only.

7.2 Prohibited Activities

You may not:

• Use the Website in any way that breaches laws or regulations
• Copy, modify, or distribute Website Content without permission
• Attempt to gain unauthorized access to our systems
• Introduce viruses or malicious code
• Use automated systems to access the Website excessively

8. Limitation of Liability

• NodeITStudio's liability is capped at 100% of fees paid for the relevant project.
• Excluded: indirect damages, lost profits, or data loss.
• No liability for third-party services (e.g., hosting providers).
• No warranty that the Website will be error-free or uninterrupted.

9. Termination

9.1 By Client

Cancellation requires written notice. Deposits are non-refundable after work commences.

9.2 By NodeITStudio

We may terminate for:

• Non-payment exceeding 30 days.
• Client breach of these terms.
• Security or legal compliance reasons.

10. Data Protection

All personal data is processed in accordance with our Privacy Policy and GDPR requirements.

11. Governing Law & Disputes

• These terms are governed by Romanian law.
• Disputes will be resolved in Bucharest courts.
• EU consumers may use the ODR platform.
• Before legal action, parties agree to attempt mediation.

12. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control.

13. Severability

If any provision is found invalid, the remaining provisions remain in full effect.
